Key Responsibilities

Corporate Housekeeping & Reorganization Support

Manage corporate housekeeping tasks and coordinate complex national and international reorganizations for our clients. Your role will involve ensuring compliance with corporate governance and regulatory requirements.

Corporate, Contract, and Commercial Law Advice

Provide conceptual legal advice to both German and foreign companies, as well as financial investors, on all aspects of corporate, contract, and commercial law. This includes drafting and negotiating cross-border intercompany contracts.

Mergers & Acquisitions (M&A)

Advise clients on national and international M&A processes, from both the buy-side and sell-side. You will also support clients in financing matters within the venture capital (VC) sector.

Contract Negotiation & Drafting

Take a leading role in negotiating and drafting key contracts, particularly cross-border agreements. Your legal expertise will ensure that clients are protected and comply with applicable laws.

Client Relationship Management

Maintain strong relationships with clients, offering practical legal solutions to their business challenges. You will work collaboratively within EY’s interdisciplinary teams across Germany and globally.

Ideal Candidate Profile

We are looking for a highly qualified lawyer with a strong background in corporate law and M&A. The ideal candidate will be a proactive, analytical thinker with a passion for delivering high-quality legal services to international clients.

Skills & Qualifications

• Fully qualified lawyer with two above-average legal exams
• Excellent communication skills in German and English (both spoken and written)
• Strong analytical skills and precise working methods
• Entrepreneurial mindset and a team-oriented approach with a high sense of responsibility
• Ideally, initial experience as a legal trainee in a large law firm
• Ability to work on complex legal issues with a focus on practical solutions

Education & Experience

• Law degree (J.D. or equivalent) with strong academic performance
• Experience in corporate law, particularly in M&A and cross-border contracts
• Proven track record of working with international clients in the corporate legal sector
• Previous experience in a law firm or corporate legal department is a plus
